End User Licence Agreement of Genius Bytes Software Solutions GmbH<\/a><\/h2>\t\t\t\t<\/div>\n\t\t\t\t

1 Scope<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
\n\t\t\t\t\t\t\t\t\t

1.1 This End User Licence Agreement (hereinafter referred to as \u201eEULA\u201c) governs the grant and exercise of rights of use regarding the software provided by Genius Bytes Software Solutions GmbH (hereinafter referred to as \u201eGenius Bytes\u201c) as well as its permissible use by the customer. Contractual provisions, in particular regarding remuneration, term, warranty, liability and support services, shall be derived from the General Terms and Conditions (GTC) and the respective individual contractual agreements.<\/p>

1.2 This EULA applies to all Genius Bytes software products, regardless of whether they<\/p>

    • On-premises software,<\/li>
    • as Software-as-a-Service (SaaS),<\/li>
    • as cloud services,<\/li>
    • as a subscription model,<\/li>
    • or as a fixed-term or perpetual software licence<\/li><\/ul><\/li><\/ul>

      be provided.
      It also applies to all associated updates, upgrades, enhancements, modules, add-ons, interfaces (APIs), licence files and the related documentation, unless expressly agreed otherwise.<\/p>

      1.3 This EULA applies exclusively to businesses within the meaning of Section 14 of the German Civil Code (BGB), as well as to legal entities under public law and special funds under public law.<\/p>

      1.4 The EULA exclusively governs the grant and use of software licences. All commercial, contractual and performance-related provisions, in particular regarding contract formation, remuneration, terms of payment, warranty, liability, maintenance and support services, data protection and the term of the contract, are governed by the general terms and conditions (GTC) or the respective individual contractual agreements.<\/p>

      1.5 Insofar as individual contract agreements, offers or licence keys deviate from this EULA, these shall take precedence in the respective regulatory area. Otherwise, the general terms and conditions of Genius Bytes shall apply additionally.<\/p>

      1.6 This EULA also applies to extensions, customisations or bespoke developments created on behalf of the customer, unless otherwise agreed.<\/p>

      1.7 Insofar as these EULA provisions contain rules regarding the scope or exercise of rights of use, they shall take precedence over the General Terms and Conditions. Otherwise, only the General Terms and Conditions shall apply.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

      \n\t\t\t\t\t

      2 definitions<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t\t\t\t\t\t

      The definitions contained in this \u00a7 2 shall also apply to the T&Cs of Genius Bytes, provided that the same terms are used therein and no deviating provision has been made.<\/p>

      2.1 \u201eSoftware\u201c means all computer programmes provided by Genius Bytes, including their components, modules, extensions, add-ons, libraries, interfaces (APIs), configuration files, licence files, updates, upgrades, patches, bug fixes, as well as the associated documentation and other digital content, regardless of the form of provision.<\/p>

      2.2 \u201eLicence\u201c means the right granted to the customer to use the software in accordance with this EULA, the General Terms and Conditions and the respective individual contract.<\/p>

      2.3 \u201eCustomer\u201c means the natural person, legal entity or partnership with legal capacity with whom Genius Bytes has concluded a contract for the use of the Software.<\/p>

      2.4 \u201eUser\u201c means any natural person who is authorised to use the Software in the name or on behalf of the Customer.<\/p>

      2.5 \u201eLicence model\u201c means the contractually agreed type of licensing, in particular as a named user, device, concurrent user, site, enterprise, subscription, SaaS or any other licence model offered by Genius Bytes.<\/p>

      2.6 \u201eLicence file\u201c means a file, licence key, digital certificate or comparable technical authorization provided by Genius Bytes that defines the scope of the granted rights of use or enables their exercise.<\/p>

      2.7 \u201eDocumentation\u201c includes all user manuals, installation guides, online help, technical descriptions, release notes and any other information provided by Genius Bytes regarding the installation, configuration, operation or administration of the Software.<\/p>

      2.8 \u201eUpdate\u201c means a further development of the software, which serves in particular to rectify errors, improve stability, security or performance, and provide minor functional enhancements.<\/p>

      2.9 \u201eUpgrade\u201c means a new version of the software that contains significant functional enhancements, new features or technical changes compared to a previous version.<\/p>

      2.10 \u201eCloud Service\u201c means software operated by Genius Bytes or a service provider commissioned by Genius Bytes, which is provided and used via a network or the Internet.<\/p>

      2.11 \u201eAPI (Application Programming Interface)\u201c means a programming interface documented by Genius Bytes that enables data exchange or the integration of the software with other applications.<\/p>

      2.12 \u201eThird-party software\u201c means software, libraries, components or services whose rights are not held by Genius Bytes and which form part of the software or are provided together with it.<\/p>

      2.13 \u201eOpen-source software\u201c means software components published under a recognised open-source licence, the use of which is subject to the respective licence terms.<\/p>

      2.14 \u201eAI features\u201c means all functions of the software that are based on artificial intelligence methods, machine learning, statistical models or comparable technologies and that analyse, generate, classify, evaluate content or create suggestions.<\/p>

      2.15 Associated company
      \u201eAffiliated company means a company within the meaning of Sections 15 et seq. of the German Stock Corporation Act (AktG).<\/p>

      2.16 \u201eLive operation\u201c means the intended use of the software within the customer's business processes.<\/p>

      2.17 \u201eTest or development environment\u201c means a system environment used exclusively for the development, configuration, quality assurance, training or testing of the software and not used for productive business processes.<\/p>

      2.18 \u201eVirtual environment\u201c means any virtualised execution environment of the software, in particular virtual machines (VMs), containers, Kubernetes clusters, hypervisor environments or comparable virtualization technologies.<\/p>

      2.19 \u201eFailover system\u201c means a software installation kept exclusively for failover or high availability, which is operated only in the event of a failure of the productive system.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

      3 Licence grant<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
      \n\t\t\t\t\t\t\t\t\t

      3.1 Subject to full payment of the agreed remuneration and compliance with this EULA, the General Terms and Conditions (GTC) and the individual contract agreements, Genius Bytes grants the Customer a simple, non-exclusive, non-transferable and \u2013 subject to paragraph 3 \u2013 non-sublicensable right to use the Software to the extent agreed in the contract for the agreed term of the contract.<\/p>

      3.2 The type and scope of the granted right of use shall arise in particular from<\/p>

        • to the respective offer,<\/li>
        • the order confirmation,<\/li>
        • or the licence file,<\/li>
        • and the product description<\/li>
        • the agreed licence model.<\/li><\/ul><\/li><\/ul>

          The scope of use agreed in the contract shall apply. Any use exceeding the agreed scope is prohibited.<\/p>

          3.3 The right of use entitles the customer exclusively to use the software as intended and within the scope agreed in the contract. The granting of rights of use to third parties, the provision of the software to third parties or its use for the benefit of third parties is only permitted if this is expressly authorised on the basis of a separate written agreement with Genius Bytes, in particular a partner, dealer, distribution or reseller agreement. The rights and provisions regulated therein shall take precedence over the provisions of this EULA in this respect.<\/p>

          3.4 The right of use exclusively comprises the object code of the software. There is no entitlement to the surrender, disclosure, or provision of the source code, unless this has been expressly agreed in writing or mandatory statutory provisions stipulate otherwise.<\/p>

          3.5 All copyrights, trademark rights, patents, trade secrets, and any other intellectual property rights in the software shall remain exclusively with Genius Bytes or the respective licensors. By granting the licence, the customer shall only receive the right to use the software in accordance with this EULA. No transfer of ownership or other intellectual property rights shall take place.<\/p>

          3.6 The licence authorises the use exclusively of those software versions, modules, functions and extensions that are the subject matter of the respective licence agreement. There is no entitlement to future versions, additional modules, functions or extensions unless this has been expressly agreed contractually.<\/p>

          3.7 Insofar as the software uses technical licence mechanisms, activation procedures, licence files or comparable protection mechanisms, the customer is obliged to use these exclusively as intended. Any manipulation, circumvention or misuse of these mechanisms is prohibited.<\/p>

          3.8 The granting of the licence is subject to the condition that the customer complies with all contractual obligations, in particular with regard to the agreed licence model, the number of licences, the scope of use and the permitted use.<\/p>

          3.9 The specific scope of the rights of use granted to the customer, in particular the licence model, the scope of the licence, the number of licensed users, devices, instances or other licence parameters, shall be determined by the respective order document.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

          \n\t\t\t\t\t

          4 licence models<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
          \n\t\t\t\t\t\t\t\t\t

          4.1 The software is provided exclusively within the scope of the respective contractually agreed licence model. The nature and scope of the rights of use granted are determined by the respective order, quotation, order confirmation, licence file or licence certificate.<\/p>

          4.2 Depending on the product and area of application, Genius Bytes offers various licence models. These include in particular:<\/p>

            • a) Named User Licence Use is restricted to the contractually agreed number of named users. Simultaneous use by other persons is only permitted if the licence has been permanently reassigned to another user.<\/li>
            • b) Device Licence: Use is restricted to the agreed number of end devices, servers or other systems.<\/li>
            • c) Concurrent User Licence The software may be installed or used by an unlimited number of authorised users, provided that the contractually agreed number of simultaneously active users is not exceeded.<\/li>
            • d) Site licence Use is restricted to the contractually agreed location or business premises.<\/li>
            • e) Enterprise licence Use is permitted within the scope of the company agreed in the contract. Use by affiliated companies is only permitted if this has been expressly agreed.<\/li>
            • f) Subscription licence The right of use is granted for the agreed term and ends automatically upon expiry of the contract term, unless renewed.<\/li>
            • g) Perpetual Licence The right of use is granted for an unlimited period. Entitlements to maintenance, support or update services shall only exist if a separate agreement has been made to this effect.<\/li>
            • h) Cloud or SaaS licence Use is via a cloud infrastructure operated by Genius Bytes or an appointed service provider. There is only a right to install the software on own systems if this has been expressly agreed.<\/li><\/ul><\/li><\/ul>

              4.3 The contractually agreed licence file or licence certificate documents the scope of the rights of use granted. The licence parameters defined therein are decisive, in particular, such as<\/p>

                • Licensing model,<\/li>
                • Number of users or devices,<\/li>
                • unlocked modules,<\/li>
                • Duration,<\/li>
                • functionality and<\/li>
                • other restrictions on use.<\/li><\/ul><\/li><\/ul>

                  4.4 The customer is obliged to use the software exclusively within the contractually agreed licence parameters. Exceeding the licensed number of users, devices or systems, or using unlicensed modules or functions, is not permitted.<\/p>

                  4.5 If the customer wishes to use additional users, devices, modules or other extensions, a corresponding licence extension must be purchased for this prior to commencing use.<\/p>

                  4.6 Changing a licence model or extending the scope of licences requires a separate agreement with Genius Bytes.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                  \n\t\t\t\t\t

                  5 Regulatory Requirements<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                  \n\t\t\t\t\t\t\t\t\t

                  5.1 The standard software is designed for general use. Suitability for fulfilling special statutory, regulatory or industry-specific requirements is only warranted to the extent that this has been expressly agreed in writing.<\/p>

                  5.2 This applies in particular to requirements due to<\/p>

                    • DORA,<\/li>
                    • NIS2,<\/li>
                    • Cyber Resilience Act (CRA),<\/li>
                    • AI Act,<\/li>
                    • NIS regulations<\/li><\/ul><\/li><\/ul>

                      as well as comparable national or international statutory or regulatory requirements.<\/p>

                      5.3 If such requirements necessitate additional functions, security measures, documentation, evidence, certifications, audits, configurations or other services, these must be agreed separately.<\/p>

                      5.4 The customer is obliged to inform Genius Bytes prior to the conclusion of the contract of any regulatory requirements known to them, provided that these are relevant for the intended use of the software.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      6 Permissible use<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      6.1 The customer is entitled to install, execute and use the software exclusively within the scope of the granted licence rights, this EULA, the terms and conditions as well as the individual contractual agreements.<\/p>

                      6.2 The use of the software is permitted solely for the customer's own internal business purposes.<\/p>

                      6.3 The customer is entitled to have the software used by their employees and by other persons, provided that<\/p>

                      (a) who are acting on behalf of the customer,
                      b) use is exclusively in the customer's interest and
                      c) the use does not exceed the scope of the licence agreed in the contract.<\/p>

                      The customer must ensure that all authorised users comply with the terms of this EULA.<\/p>

                      6.4 If the software is provided as part of a partner, dealer, distribution or reseller agreement, the scope of the permissible passing on or provision of the software to end customers shall be governed exclusively by the respective partner agreement. The use by the respective end customer shall be governed by the licence terms applicable to them.<\/p>

                      6.5 The use of the software in virtual environments, container platforms, high-availability solutions or comparable infrastructures is permitted, provided this is covered by the agreed licence model. Further provisions in this regard are set out in \u00a7 7 of this EULA.<\/p>

                      6.6 The Customer is entitled to use the Software to a reasonable extent in test, development and quality assurance environments, provided that<\/p>

                      a) these serve exclusively internal purposes,
                      b) no productive use is made and
                      c) the agreed licence scope is not exceeded hereby or a corresponding licence exists for this.<\/p>

                      6.7 Insofar as the software provides documented programming interfaces (APIs) or integration options, these may only be used in accordance with the respective product documentation and within the agreed scope of licence.<\/p>

                      6.8 The Customer is entitled to use the data, documents and work results generated within the scope of contractual use without restriction for their own business purposes. Genius Bytes shall not acquire any rights to this data, unless otherwise provided by statutory provisions or separate agreements.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      7 Installation and backups<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      7.1 The customer is entitled to install and operate the software on the contractually agreed number of systems, devices or other technical environments, provided this corresponds to the agreed licence model.<\/p>

                      7.2 The customer may make the reproductions technically necessary for the contractual use of the software. These include in particular<\/p>

                      a) the installation of the software,
                      b) the loading, running and saving of the software in the main memory or mass storage,
                      c) the making of temporary copies, provided that these are technically necessary for the intended operation.<\/p>

                      7.3 The customer is entitled to make an appropriate number of backup copies of the software, provided these serve exclusively for data backup or recovery. Backup copies must not be used productively or passed on to third parties.<\/p>

                      7.4 All copyright notices, trade mark identifications, licence notices and other protective notices must be retained fully and unchanged on all permitted copies.<\/p>

                      7.5 The installation and use of the software in virtual machines, container environments or comparable virtualization technologies is permitted, provided this is covered by the agreed licence model. The provisions of Section 7 of this EULA shall remain unaffected.<\/p>

                      7.6 The customer is obliged to implement appropriate technical and organisational measures to protect the software, licence files, licence keys and any backup copies made against loss, damage, manipulation and unauthorised access by third parties.<\/p>

                      7.7 Upon termination of the right of use, the provisions of Section 16 of this EULA shall apply. Back-up copies may only be retained after the termination of the right of use to the extent that this is required due to mandatory statutory provisions or statutory retention obligations.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      8 Virtual environments, clusters and failover systems<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      8.1 The installation and use of the software in virtual environments, container platforms, hypervisor environments or comparable virtualization technologies is permitted, provided this complies with the agreed licensing model.<\/p>

                      8.2 Every installation or instance of the software within a virtual environment shall be deemed a separate installation under licensing law, unless otherwise stipulated in the agreed licensing model or an individual contract.<\/p>

                      8.3 Operation of the software within high-availability, cluster, load-balancing or comparable system architectures is permitted, provided that the contractually agreed scope of licence is complied with.<\/p>

                      8.4 Passive failover systems or comparable standby systems which serve exclusively to restore operations in the event of a system failure and are not simultaneously used for production purposes may be operated without an additional licence, provided that<\/p>

                      a) there is no simultaneous productive use,
                      b) the failover system is used exclusively for failover purposes and
                      c) the operation does not contradict the agreed licensing model.<\/p>

                      If the primary and failover systems are used productively at the same time, or if both systems are operated in parallel on a permanent basis, a corresponding licence is required.<\/p>

                      8.6 The mere migration of a licensed software installation within the same licensed IT infrastructure, in particular in the context of live migrations, vMotion, Hyper-V Live Migration or comparable virtualization technologies, does not in itself give rise to any additional licensing requirement, provided that the contractually agreed scope of licensing is not exceeded thereby.<\/p>

                      8.7 The customer is obliged to ensure, through suitable technical and organisational measures, that the contractually agreed scope of licences is complied with at all times, even within virtual or high-availability system environments.<\/p>

                      8.8 Insofar as technical licence mechanisms are used, these must not be circumvented or impaired either by virtualisation technologies or by any other technical measures.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      9 Restrictions on use<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      9.1 Unless mandatory statutory provisions or an express written agreement with Genius Bytes provide otherwise, the customer is specifically prohibited from,<\/p>

                      a) to use the software beyond the contractually agreed scope of licence,
                      b) to copy the software, insofar as this is not permitted under this EULA or by statutory provisions,
                      c) to rent, lease, lend or otherwise make the Software available to third parties, whether for consideration or free of charge,
                      d) to transfer usage rights or licences to third parties or to grant sublicences, unless this is expressly permitted on the basis of a separate partner, dealer, distribution or reseller agreement,
                      e) to make the software or parts thereof publicly accessible or to provide it to third parties outside the agreed scope of use,
                      f) to circumvent, manipulate or disable technical protective measures, activation procedures, licence files, licence keys or other licence mechanisms,
                      g) to remove, alter or obscure copyright notices, trade mark designations, serial numbers or other notices of protection or origin,
                      h) to modify, adapt or create derivative works of the software, except to the extent permitted by mandatory statutory law,
                      (i) to decompile, disassemble, reverse engineer or otherwise derive the source code or the internal functioning of the Software, except to the extent expressly permitted under sections 69d and 69e of the German Copyright Act (UrhG);,
                      j) to deploy technical measures that impair or may impair the proper operation, security, or integrity of the software,
                      k) to use the software in a way that violates applicable law, official orders, or the rights of third parties.<\/p>

                      9.2 The customer must not use the software to,<\/p>

                      a) to develop, distribute or execute malicious software, malware or other harmful programmes,
                      b) to access third-party systems or data without authorisation,
                      c) to circumvent protective measures of third parties or
                      d) to support or promote other illegal acts.<\/p>

                      9.3 To the extent that the software provides documented programming interfaces (APIs), integration options or automation functions, these may only be used in accordance with the product documentation and within the agreed scope of licence. Any abusive use or use that impairs proper operation is prohibited.<\/p>

                      9.4 If the software contains AI-based functions, the customer is prohibited from using them in a manner that<\/p>

                      a) breaches applicable law,
                      b) infringed the rights of third parties,
                      c) is intended to generate or disseminate discriminatory, offensive or unlawful content, or
                      d) serves exclusively the purpose of circumventing technical or licensing protection measures of the software.<\/p>

                      9.5 The customer is obliged to take suitable organisational and technical measures to prevent the software from being used outside the contractually agreed scope of licences by unauthorised persons.<\/p>

                      9.6 Breaches of the provisions of this EULA may give rise to statutory and contractual claims by Genius Bytes. Further rights of Genius Bytes shall remain unaffected.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      10 APIs, integrations and automation<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      10.1 Insofar as Genius Bytes provides documented programming interfaces (APIs), integration interfaces or automation functions, the customer is entitled to use these within the scope of the agreed licence model and exclusively in accordance with the respective product documentation.<\/p>

                      10.2 The use of APIs and integration interfaces may exclusively serve the intended data exchange as well as the integration of the software into the customer's IT systems and business processes. Any use outside the intended scope of functions requires the prior written consent of Genius Bytes.<\/p>

                      10.3 The customer is entitled to develop or use their own applications, scripts, extensions or automations, provided that<\/p>

                      a) only documented interfaces are used,
                      b) this does not impair the functionality, security or stability of the software,
                      c) no technical protection measures or licence mechanisms are circumvented and
                      d) the agreed scope of the licence is adhered to.<\/p>

                      10.4 The use of APIs or other interfaces must not, in particular, be used to,<\/p>

                      a) to circumvent technical or licensing restrictions of the software,
                      b) to unlock unlicensed features or modules,
                      c) compromising or deactivating security mechanisms,
                      d) to permit use that exceeds the agreed scope of the licence.<\/p>

                      10.5 Genius Bytes is entitled to further develop, expand or modify documented APIs, integration interfaces or automation functions as part of updates or upgrades for a valid reason, provided that the contractual use of the software is not unreasonably impaired thereby.<\/p>

                      10.6 Insofar as supplementary licence conditions or terms of use apply to certain APIs, Software Development Kits (SDKs) or integration components, these must be observed in addition.<\/p>

                      10.7 The customer remains responsible for all data processed via interfaces or automations, as well as for their lawfulness, integrity and security, insofar as these fall within their sphere of responsibility.<\/p>

                      10.8 Genius Bytes accepts no liability to ensure that the APIs or integration interfaces provided remain permanently unchanged or are compatible with third-party applications, provided that their modification is necessary for the further development of the software, for security reasons or due to legal requirements.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      11 Cloud Services<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      11.1 To the extent that the software is provided as cloud services, Software-as-a-Service (SaaS) or in any other environment operated by Genius Bytes or a service provider commissioned by Genius Bytes, its use shall be governed by this EULA, the General Terms and Conditions, and the individual contractual agreements.<\/p>

                      11.2 For the duration of the agreed contract term, the customer is granted the non-exclusive, non-transferable right to access the cloud services that are the subject of the contract and to use them to the agreed extent.<\/p>

                      11.3 The use of the cloud services requires a suitable internet connection and IT infrastructure on the part of the customer that corresponds to the respective system requirements. The customer is solely responsible for the provision and operation of this infrastructure.<\/p>

                      11.4 The customer is obliged to,<\/p>

                      a) to keep his login details confidential,
                      b) to protect access to the cloud services against unauthorised use,
                      c) to notify Genius Bytes immediately of any unauthorised access or suspected misuse.<\/p>

                      11.5 The customer may only use cloud services within the scope of the agreed licence. In particular, user, storage, transaction, device or other usage restrictions must not be exceeded or circumvented by technical measures.<\/p>

                      11.6 Genius Bytes is entitled to further develop, modernise or adapt the technical infrastructure of the cloud services as part of standard product maintenance, provided that this does not significantly impair the contractual use of the cloud services.<\/p>

                      11.7 Insofar as third-party services, in particular hosting, infrastructure, platform or sovereign cloud services (or comparable infrastructures), are used for the provision of the cloud services, Genius Bytes shall remain the sole contractual partner of the customer. The use of such services does not establish any direct contractual relationships between the customer and the respective infrastructure provider.<\/p>

                      11.8 The customer remains responsible for all data uploaded, processed or generated within the cloud services by them or their authorised users. Genius Bytes acquires no rights to this data unless otherwise required by statutory provisions or explicit contractual agreements.<\/p>

                      11.9 Upon termination of the right of use, the customer's right to use the cloud services shall also end. Details regarding data provision, data deletion and any retention periods shall be governed by the General Terms and Conditions as well as any data protection or service agreements that may have been agreed.<\/p>

                      11.10 Genius Bytes is entitled to take appropriate technical measures for reasons of IT security, system stability, compliance with legal requirements or to fend off specific threats, provided that these are necessary to maintain the secure and proper operation of the cloud services. The legitimate interests of the customer must not be unreasonably impaired as a result.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      12 AI features<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      12.1 In so far as the software contains functions that are based on AI functions or comparable technologies, the following provisions shall apply in addition to the other terms of this EULA.<\/p>

                      12.2 AI features serve exclusively to assist the customer in the analysis, processing, creation or evaluation of information. The content, suggestions, recommendations or results generated by AI features do not constitute binding professional, legal, tax or other advisory services.<\/p>

                      12.3 The customer remains responsible for all decisions, measures and actions taken on the basis of the results generated by the AI functions. The customer's obligation to carry out a factual, technical or legal review of the results remains unaffected.<\/p>

                      12.4 Due to their technical functioning, AI features may generate incomplete, inaccurate or unexpected results. The customer is obliged to independently check all results for plausibility and suitability for the intended purpose before any further use or implementation.<\/p>

                      12.5 The customer is responsible for ensuring that the use of the AI functions, as well as the input, processing, and evaluation of data, complies with applicable legal provisions and the rights of third parties. This applies in particular to data protection, copyright, and other legal requirements.<\/p>

                      12.6 In particular, the customer must not use the AI functions to,<\/p>

                      a) to generate or distribute unlawful content,
                      b) to infringe the rights of third parties,
                      c) to generate discriminatory, offensive, misleading or otherwise unlawful content,
                      d) to circumvent technical or licensing protection measures of the software or
                      e) to impair the security, integrity or availability of the software or the services provided by Genius Bytes.<\/p>

                      12.7 Insofar as AI functions are based on or incorporate third-party services or models, supplementary terms of use or technical restrictions may apply to their use. Genius Bytes will inform the customer of this in an appropriate manner, insofar as necessary.<\/p>

                      12.8 Genius Bytes is authorised to further develop, adapt, expand or replace AI functions as part of product maintenance with equivalent technologies, provided that this does not significantly impair the contractual use of the software.<\/p>

                      12.9 Insofar as the software offers the possibility to process content or inputs (prompts) provided by the customer using AI functions, all rights to this content shall remain with the customer. Any use of this content by Genius Bytes shall take place exclusively within the scope of statutory provisions, contractual agreements or express consent from the customer.<\/p>

                      12.10 Insofar as AI functions analyse, classify or evaluate documents, contracts or other content, the generated results are solely for the purpose of supporting the customer. They do not replace a legal review or professional assessment by appropriately qualified persons.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      13 Updates, Maintenance and Support<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      A claim for updates, upgrades, maintenance or support services only exists to the extent that these have been expressly agreed upon contractually or are part of the respective licence model.<\/p>

                      13.2 Insofar as maintenance, care, subscription or support services have been agreed, Genius Bytes shall provide these in accordance with the respective contractual agreements and the General Terms and Conditions (GTC).<\/p>

                      13.3 Updates and upgrades can in particular<\/p>

                      a) Bug fixing,
                      b) Improvement of stability, security, or performance,
                      c) adaptation to technical or legal requirements,
                      d) Extension or modification of existing functions as well as
                      e) serve to provide new functionalities.<\/p>

                      The provision of upgrades is based exclusively on the respective contractual agreement or the agreed licensing model. This does not establish any entitlement to the provision of specific new functions or product features.<\/p>

                      13.4 Genius Bytes is authorised to provide updates and upgrades insofar as these are necessary to maintain the security, integrity, functionality or compatibility of the Software. The Customer is obliged to install security-related updates within a reasonable period, insofar as this is reasonable for them to do so.<\/p>

                      13.5 Updates or upgrades may include changes to the user interface, the range of functions, technical interfaces or internal processes of the software, provided that this does not unreasonably impair the contractual use of the software.<\/p>

                      13.6 The entitlement to maintenance, care or support services may require the customer to use a software version supported by Genius Bytes. Genius Bytes is entitled to discontinue support for obsolete or no longer supported software versions, provided that the customer has been given reasonable notice in advance.<\/p>

                      13.7 Unless expressly agreed otherwise, the maintenance or support entitlement does not include<\/p>

                      a) Customisation to customer-specific requirements,
                      b) development of new features or custom programming,
                      c) training, consultancy or implementation services,
                      d) services resulting from improper use of the software or
                      e) Services for the resolution of faults caused by third-party software, modifications by the customer or other circumstances for which Genius Bytes is not responsible.<\/p>

                      13.8 The customer is obliged to cooperate appropriately when utilising maintenance or support services. This includes, in particular, the provision of the information, logs and configuration data required for error analysis, as well as a comprehensible description of the error.<\/p>

                      13.9 Further details regarding maintenance, care, support or service provisions, in particular regarding the scope of services, response times, service hours, maintenance windows or service levels, shall arise exclusively from the terms and conditions or separate maintenance, support or service agreements.<\/p>

                      13.10 Insofar as updates or upgrades concern cloud-based services or AI functions, these may be provided without requiring a separate installation by the customer. There is no entitlement to the unchanged continued availability of individual functions, provided that the contractual use of the software is not substantially impaired thereby.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      14 Open Source and third-party software<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      third-party Software Development Kits (SDKs) (hereinafter jointly referred to as \u201ethird-party software\u201c) contain or require the use of.<\/p>

                      14.2 Insofar as open-source software forms part of the software, the respective open-source licence terms shall apply additionally to these components. Insofar as these licence terms grant the customer more extensive rights or impose additional obligations, they shall take precedence over the provisions of this EULA with respect to the respective open-source component.<\/p>

                      14.3 Insofar as the software contains third-party software or works in conjunction with it, all rights to this third-party software shall remain with the respective copyright holders. In this respect, the Customer shall only be granted such rights of use as Genius Bytes itself is authorised to grant.<\/p>

                      14.4 The customer undertakes to comply with the licence conditions applicable to any open-source components or third-party software contained therein, insofar as these are applicable to them.<\/p>

                      14.5 Genius Bytes is entitled to replace, update or remove open-source components or third-party software as part of product maintenance by functionally equivalent components, provided that this does not materially impair the contractual use of the software.<\/p>

                      14.6 Where separate licence terms, terms of use or notices from third-party providers apply to individual components of the software, these shall be made available to the customer in an appropriate manner and must be observed in addition to these terms within the respective scope of application.<\/p>

                      14.7 The use of open-source software or third-party software does not lead to a transfer of rights to the software developed by Genius Bytes. All rights to the software components developed by Genius Bytes remain exclusively with Genius Bytes.<\/p>

                      14.8 Insofar as the use of individual functions of the software requires the use of third-party software or third-party services, their provision, functional scope or availability may depend on the respective third-party providers. Changes, restrictions or the discontinuation of such third-party services shall not, in themselves, constitute a defect in the software, provided that the contractual use of the software as a whole is not substantially impaired.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                      \n\t\t\t\t\t

                      15 Licence examination<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                      \n\t\t\t\t\t\t\t\t\t

                      15.1 Genius Bytes is entitled to check the contractual use of the software and compliance with the granted rights of use, provided there is a legitimate interest in doing so.<\/p>

                      15.2 Where an inspection is carried out at the customer\u2019s premises, its conduct shall be governed exclusively by the provisions of the General Terms and Conditions.<\/p>

                      15.3 The Customer shall provide Genius Bytes with reasonable support in the performance of a licence audit and, upon request, shall make available such information as is necessary to determine proper licensing. This may include, in particular, details regarding<\/p>

                        • the software versions used,<\/li>
                        • the number of licensed and actually used users, devices or instances,<\/li>
                        • the modules used, as well as<\/li>
                        • the scope of use<\/li><\/ul><\/li><\/ul>

                          belong.<\/p>

                          15.4 An audit pursuant to paragraph 2 shall be notified to the customer in writing with reasonable notice and shall be conducted during normal business hours. Appropriate regard shall be given to the legitimate trade and business secrets of the customer.<\/p>

                          15.5 If the licence audit reveals that the customer is using the software beyond the scope of licences agreed in the contract, the customer is obliged to purchase the missing usage rights immediately at the list prices valid at the time of subsequent licensing or at the prices agreed between the parties. Further statutory or contractual claims by Genius Bytes shall remain unaffected hereby.<\/p>

                          15.6 All information obtained in the course of a licence audit shall be treated as confidential by Genius Bytes and shall be used exclusively for the purpose of conducting the licence audit and enforcing contractual licence rights, unless there is a legal obligation to disclose such information.<\/p>

                          15.7 Furthermore, the provisions of the T&Cs shall apply to the administration of licence examinations.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                          \n\t\t\t\t\t

                          16 Intellectual Property and Feedback<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t\t\t\t\t

                          16.1 All rights to the software, including its components, modules, extensions, interfaces (APIs), documentation, data models, algorithms, designs, user interfaces, as well as all copyrights, trademark rights, patents, trade secrets and other intellectual property rights, shall remain exclusively with Genius Bytes or the respective licensors.<\/p>

                          16.2 By granting a licence, the Customer is granted only the contractually agreed right to use the software. No transfer of ownership, copyright, trade mark, patent or other intellectual property rights takes place.<\/p>

                          16.3 Where the customer submits suggestions for improvement, ideas, proposals, error reports, suggestions for optimisation or any other feedback regarding the software (hereinafter collectively referred to as \u201eFeedback\u201c) to Genius Bytes, Genius Bytes shall be entitled to use such Feedback free of charge for the purposes of analysis, fault rectification, and the further development, improvement and marketing of the software and its products.<\/p>

                          16.4 The granting of the right of use pursuant to paragraph 3 exclusively covers the feedback voluntarily submitted by the customer. Rights to the data, documents, business processes, trade secrets or other content processed by the customer are not hereby transferred to Genius Bytes.<\/p>

                          16.5 Genius Bytes is authorised to use general insights, experiences, methods, concepts and ideas gained from the collaboration with the customer in the context of product development, provided that no personal data, confidential information or trade secrets of the customer are disclosed or exploited.<\/p>

                          16.6 Insofar as the customer provides test data, sample files or other materials as part of support, maintenance or development services, all rights to these shall remain with the customer. Genius Bytes is authorised to use these exclusively for the performance of the agreed services as well as for error analysis and troubleshooting, unless a further agreement has been made.<\/p>

                          16.7 The use of the customer's name, company name or logo is subject to the provisions of the terms and conditions or a separate agreement.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                          \n\t\t\t\t\t

                          17 Term and Termination<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t\t\t\t\t

                          17.1 The right to use the software is granted for the respective term agreed in the contract.<\/p>

                          17.2 The right of use shall expire upon the expiry of the agreed term or upon termination of the contractual relationship from which the respective right of use derives. In the case of time-limited licences, the right of use shall expire automatically upon the expiry of the agreed term without the need for a separate notice of termination.<\/p>

                          17.3 Upon termination of the right of use, the customer is obliged to,<\/p>

                          a) to cease use of the software immediately,
                          b) to deactivate or delete all installed copies of the software as well as the associated licence files, activation keys and other entitlements, unless statutory retention obligations prevent this,
                          c) not to reinstall or use the software unless a valid right of use still exists for this purpose.<\/p>

                          17.4 Statutory retention periods and the storage of backup copies exclusively for evidential or archival purposes remain unaffected. However, this does not permit renewed use of the software after the right of use has ended.<\/p>

                          17.5 Upon termination of the right of use, Genius Bytes is authorised to deactivate or block technical licence mechanisms and to terminate access to cloud-based services, user accounts, interfaces (APIs) or other online functions, provided this is necessary to enforce the terminated right of use.<\/p>

                          17.6 If there is a legitimate interest based on specific circumstances, Genius Bytes may require written confirmation from the customer that the use of the software has been terminated and that the software and the associated licence files have been decommissioned or deleted in accordance with the provisions of this EULA.<\/p>

                          17.7 The termination of the right of use shall not affect those provisions of this EULA which by their nature continue to apply even after the contract has ended. This applies in particular to the provisions on restrictions on use, intellectual property, open source and third-party software, licence auditing, and other provisions which, by their purpose, remain in effect beyond the termination of the right of use.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                          \n\t\t\t\t\t

                          18 Compliance and Export Control<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t\t\t\t\t

                          18.1 The Customer undertakes to use the software exclusively in compliance with the applicable statutory provisions as well as the provisions of this EULA and the General Terms and Conditions.<\/p>

                          18.2 In particular, the customer shall not use the software in a manner that violates applicable export control, foreign trade, sanctions, embargo or other applicable law.<\/p>

                          18.3 Insofar as official approvals, export licenses or other public-law permits are required for the use of the Software, obtaining and complying with them shall be the responsibility of the Customer, unless they are expressly assumed by Genius Bytes.<\/p>

                          18.4 The customer must not transfer the software, either directly or indirectly, to natural or legal persons, organisations or states, nor use it for their benefit, insofar as this is prohibited under the applicable export control, sanctions or embargo regulations.<\/p>

                          18.5 Insofar as statutory regulations or official orders wholly or partly prohibit or substantially restrict the provision or further use of the software, Genius Bytes shall be entitled to suspend or discontinue the provision or use of the software concerned accordingly. Further statutory or contractual rights shall remain unaffected hereby.<\/p>

                          18.6 The customer shall notify Genius Bytes without delay should they become aware of circumstances that could lead to a breach of the provisions set out in this Clause 18 or that significantly impair the contractual provision or use of the Software.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

                          \n\t\t\t\t\t

                          19 Final provisions<\/h3>\t\t\t\t<\/div>\n\t\t\t\t
                          \n\t\t\t\t\t\t\t\t\t

                          19.1 This EULA supplements the General Terms and Conditions of Genius Bytes. Insofar as this EULA does not contain any diverging provisions, the provisions of the General Terms and Conditions shall apply additionally.<\/p>

                          19.2 Should individual provisions of this EULA be or become wholly or partially invalid, unfeasible or unenforceable, the validity of the remaining provisions shall remain unaffected hereby. The invalid, unfeasible or unenforceable provision shall be replaced by the statutory regulation. The same shall apply to any regulatory gaps.<\/p>

                          19.3 Any amendments or additions to this EULA must be in writing within the meaning of the General Terms and Conditions (GTC), unless a stricter form is prescribed by law.<\/p>

                          19.4 Insofar as personal designations are used in this EULA, they apply equally to all genders. The use of the masculine form serves solely to improve readability and does not imply any value judgment.<\/p>

                          19.5 The headings of the individual provisions are for convenience only. They have no bearing on the interpretation or content of this EULA.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>","protected":false},"excerpt":{"rendered":"
